1. Acceptance of Terms

By creating an account or using the RingBase service, you agree to these Terms of Service. If you do not agree, do not use the service.

2. Service Description

RingBase provides cloud-based business phone services including phone numbers, auto-attendant, extensions, voicemail, call recording, and desk phone support. Service availability is subject to your subscription plan.

3. Account Responsibilities

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate billing and contact information.

4. Billing & Payments

Subscription fees are billed in advance on a monthly or annual basis. Overage charges for minutes exceeding your plan are billed at the end of each billing cycle. All fees are non-refundable except as required by law. You may cancel your subscription at any time; service continues until the end of the current billing period.

5. Acceptable Use

You may not use the service for illegal purposes, unsolicited marketing calls or text messages (spam), harassment, or any activity that violates applicable telecommunications regulations including Canada's Anti-Spam Legislation (CASL). You are responsible for obtaining proper consent before sending SMS messages through the platform. We reserve the right to suspend accounts that violate this policy.

6. Emergency Services

RingBase is a VoIP service and is not a replacement for traditional telephone service. The service has limitations for emergency calling (911/E911). Emergency calls may not function if your internet connection is unavailable, during power outages, or if your registered address is incorrect. You should maintain an alternative means of accessing emergency services.

7. Service Level

We target 99.9% uptime for the voice platform. Scheduled maintenance windows are communicated in advance. We are not liable for service interruptions caused by factors outside our control, including internet outages and third-party provider issues.

8. Intellectual Property

The RingBase name, logo, and all related software, designs, and content are the property of RingBase and are protected by Canadian and international intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the service. You may not copy, modify, distribute, or reverse-engineer any part of the platform.

9. Limitation of Liability

To the maximum extent permitted by law, RingBase shall not be liable for indirect, incidental, or consequential damages arising from the use of the service, including but not limited to failed or misdirected calls, missed messages, or service interruptions. Our total liability shall not exceed the amount you paid in the 12 months preceding the claim.

10. Account Termination

You may close your account at any time from the app settings or by contacting support. Upon closure, your subscription will end at the current billing period and your personal data will be deleted within 30 days in accordance with our Privacy Policy. We may terminate or suspend your account immediately if you violate these terms.

11. Governing Law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these terms or the service shall be resolved in the courts of Ontario, Canada.

12. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect.
